Yale New Haven Health system is embroiled in a lawsuit against Prospect Medical Holdings in a bid to opt out of a $435 million hospital purchase agreement. Yale alleges Prospect’s neglect and financial mismanagement breach the pre-existing contract.

Allegations Against Prospect Medical Holdings

According to Yale, Prospect’s failings include a lack of adherence to safety and sanitization standards, neglecting infrastructure repairs, improperly managing medical samples and drugs, incorrect administration of treatments, and breaching abuse policy. Additionally, cybersecurity issues and financial shortcomings at Prospect hospitals, such as unpaid compensation and accumulated debt, were cited.

Negotiations and Acquisitions

The Yale Health System’s negotiations with Prospect started on February 4, 2022, for the acquisition of Waterbury Hospital, Rockville General Hospital, and Manchester Memorial Hospital. The parties signed a purchasing agreement on October 5, 2022.

Prospect’s Regulatory Violations

The complaint reveals that state and federal regulators issued notices regarding regulatory violations at Prospect-operated hospitals, endangering patient health and safety. In June 2023, a patient death occurred due to delays in blood work processing at Waterbury Hospital, among other violations.

Cybersecurity Concerns

On August 1, 2023, all three Prospect hospitals fell victim to a ransomware attack, compromising the private health information of approximately 110,000 patients and employees.

Financial Shortcomings

The lawsuit also highlights Prospect’s financial shortcomings, including pending payments to vendors and physicians and millions in rent, interest and unpaid taxes. A report revealed the hospitals owed $5.9 million to local vendors and $5.18 million in unpaid compensation to physicians as of November 2023.

Despite the allegations, Prospect officials, in a statement to CT Mirror, called the suit a last-minute attempt by Yale to back out of the contract and promised to seek legal action to ensure the deal’s completion.
